  49. LICENSE AGREEMENT, LIMITED WARRANTY, AND DISCLAIMER
  50. PLEASE READ THIS ENTIRE AGREEMENT CAREFULLY.  
  51. This Agreement is legally binding upon you, any end user, and
  52. Code Team-LBK, Inc. ("Code Team").   You, the Licensee, are agreeing
  53. to each term of this Agreement, including the Software License, 
  54. Limited Warranty and Disclaimer.  If you do not agree with these terms,
  55. then promptly remove this software and its files from all of your storage
  56. media and destroy any material or files that you have copied.  This
  57. Agreement applies to the evaluation copy of PathWalker  (Software)
  58. for end users.

  60. 1.  SOFTWARE OWNERSHIP.  George W. Williams shall retain the full and
  61. complete title to the Software, regardless of the media or form on or in
  62. which the original or other copies may exist, including copies which are
  63. made in violation of the terms of this License.  Individuals, corporations, 
  64. other business entities,  and other entities (including governmental and
  65. educational entities) can not profit from the sale of the evaluation copy
  66. of the Software; the right of profit from this Software product or the use
  67. of the Software product's name rest solely with George W. Williams.
  68. This License shall not be considered a "sale" of the original Software.

  70. 2.  LICENSE GRANT.
  71. Code Team grants to licensee a nonexclusive right to use and display this
  72. copy, and only this copy of the Software at a single location and for the
  73. purpose of evaluation.  All rights not expressly granted to Licensees are
  74. reserved to Code Team.

  76. 3.  COPYRIGHT RESTRICTIONS.
  77. This Software and the accompanying content (printed, written or otherwise)
  78. are copyrighted.  Unauthorized copying of the Software, including those 
  79. instances where the Software has been modified, merged or included with 
  80. other Software, or of the printed or written materials, for any reason, 
  81. is expressly forbidden.  Licensee may be held liable for copyright 
  82. infringement which results from such unauthorized copying.

  84. 4.  RESTRICTIONS ON USE.  
  85. Except for the initial physically transfer & loading of the Software onto
  86. a media in the procession of the end user and for the purpose of evaluation
  87. the Licensee shall not, without the prior written consent of Code Team 
  88. (such consent to be granted or withheld at either Code Team' s sole discretion
  89. for any reason),
  90. (a)  copy, reproduce or publish the Software;
  91. (b)  electronically transfer the Software to multiple computers over a network
  92. system;
  93. (c)  distribute copies of the Software or accompanying materials to others;
  94. (d)  modify, adapt, translate, summarize, decompile, disassemble, reverse engineer,
  95. or create derivative works based on the Software; or
  96. (e)  modify, adapt, translate or create derivative works based on the printed,
  97. electronic, or written materials.
  98. (f)  participate in any of the of the above mentioned activities for the 
  99. benefit of other parties.

  101. The end user, Licensee of an evaluation copy of this Software may use this
  102. Software ONLY on the end users computer at any one time and may use the 
  103. evaluation copy of this software for fifty (50) times for evaluation 
  104. purposes only.  Using this software beyond fifty (50) times, without 
  105. registering the software is a violation of the terms of this limited license.
  106. If you continue using this software (and or it's documentation) after the
  107. fifty (50) times for evaluation, you MUST make a payment to Code Team.

  109. Any such unauthorized use shall result in immediate and automatic 
  110. termination of this license.

  112. 5.  RESTRICTIONS ON ASSIGNMENT OR TRANSFER.  
  113. The Licensee, end user of an evaluation copy of this software may physically
  114. transfer the software from an authorized distribution's computer or media to
  115. the end user computer's media, provided that the end user also follows each
  116. term of usage.  Licensee shall not assign, rent, lease, sell, sublicense or
  117. otherwise transfer the Software to another party.

  119. 6.  TERMINATION OF AGREEMENT.  This License Agreement will automatically
  120. terminate if Licensee fails to comply with any term of this Agreement.
  121. No notice shall be required from Code Team.  Upon such termination, 
  122. Licensee shall immediately remove this software and its files from all 
  123. storage media and destroy any material or files that have been copied.

  125. 7.  SOFTWARE UPDATES.  Updated versions of the Software may be created 
  126. or issued by Code Team from time to time.  At its sole option, Code Team 
  127. may make such updates available for download to authorized distributors 
  128. (transferees).

  130. This Limited warranty and disclaimer Agreement is legally binding upon you,
  131. any end user, and Code Team-LBK, Inc. ("Code Team").  The software and
  132. accompanying materials are provided AS IS without warranty of any kind.
  133. George W. Williams, Code Team and any Licensors MAKES NO WARRANTY OF ANY
  134. KIND, EXPRESSED OR IMPLIED, INCLUDING WITHOUT LIMITATION, ANY WARRANTIES
  135. OF MERCHANTABILITY AND/OR FITNESS FOR A PARTICULAR PURPOSE.
  136. The foregoing warranties are in lieu of all other warranties, expressed,
  137. implied, including but not limited to, the implied warranties of 
  138. merchantability and fitness for a particular purpose.  No oral or written
  139. information or advice given by George Williams, Code Team or any licensors,
  140. any dealers, distributors, agents, or employees thereof shall create a 
  141. warranty or in any way increase the scope of this limited warranty shall 
  142. be limited to the duration of the limited warranties set forth herein.
  143. The maximum liability of George Williams, Code Team and any licensors shall
  144. be the purchase price of the software.  In no event shall George Williams,
  145. Code Team and any licensors thereof be liable to you or any other person 
  146. for any direct, indirect, incidental, consequential, special, exemplary or 
  147. punitive damages for tort, contract, strict liability or other theory,
